1. Who we are and what these terms cover

authorizedretailers.ai is operated by Authorized Retailers LLC, c/o Northwest Registered Agent LLC, 7901 4th St N Ste 300, St. Petersburg, FL 33702, USA (“we”, “us”). These terms cover the website, the brand and retailer accounts at app.authorizedretailers.ai, the agent developer accounts and API keys, the verify API, the MCP server, any mirrors we run and any signed answer or list we issue (together, the “Registry”). By using the Registry you agree to these terms. If you use it for an organization, you confirm you can agree on its behalf. Our privacy notice says what we collect and why.

The authorized-retailers.json format is an open format published under CC BY 4.0, with reference code under Apache 2.0. These terms cover the Registry, not your use of the format itself.

2. What the Registry does

The Registry records which retailers a brand has authorized, on which channels, in which territories and for which products, and publishes that record as signed lists and signed answers.

  • Brands make every authorization decision. We record and publish the brand’s decisions. We do not add, remove or change an authorization except on the brand’s instruction or when the brand approves a seller’s request. Every change is logged and the brand can see the log.
  • Brands may also declare a seller unauthorized. A declaration is the brand’s statement that it has not authorized that seller. We record it and report it in answers about that seller. We do not check it, and declarations are never published as a list.
  • We verify brands, not retailers’ businesses. We check that a brand controls its domain and link it to at least one independent source. We do not audit a brand’s contracts with its retailers, and we do not check that a retailer controls the seller account or store it says it runs.

3. What an answer means, and what it doesn’t

A signed answer states what the brand had recorded on the Registry at the time the answer was issued, for the seller, channel, territory, product and date in the request.

An answer does not:

  • say whether any item is genuine, safe, legal to sell or of any particular quality;
  • say anything about price, stock, delivery or a seller’s conduct;
  • say that a seller who is not listed is unauthorized, infringing or selling counterfeit goods. “Unlisted” means only that the brand has not recorded an authorization that covers the request;
  • make any finding of our own when it says “unauthorized”. That status reports the brand’s declaration, which we have not verified and which the seller may dispute;
  • say anything about a product beyond what the brand recorded. A recall or discontinued flag is the brand’s statement, and the absence of one does not mean a product is safe or current;
  • stay true after its valid_until time, except as the specification allows during an outage.

You must not describe an answer as meaning more than this. In particular, you must not tell anyone that a seller is counterfeit or unauthorized because it is unlisted, and you must not present a brand’s declaration as a finding by us.

4. Brands

If you register a brand, you confirm that:

  • you have authority to act for the brand and to make authorization decisions for it. The confirmation you give when you claim a brand is this promise, and if your email isn’t at the brand’s domain, what you tell us about your connection to the brand is true;
  • the information you give us is accurate, and you will keep it current, including revoking authorizations that have ended;
  • you have the right to share the retailer and product information you add, and any personal data in it is handled as our privacy notice describes;
  • you will only declare a seller unauthorized when the brand has not authorized it, you will withdraw a declaration that is no longer true, and you will respond to disputes;
  • the products you add, and any recall or discontinued flag you set, are accurate. Agents act on those flags, so a wrong recall flag stops sales of a product that is fine;
  • you will keep the DNS record in place while you want your list to count;
  • you will keep your sign-in email and authenticator secure, use multi-factor authentication as required, and only give access to people entitled to act for the brand. You are responsible for what is done through your brand’s accounts.

If seller detection is available to you, the seller leads it shows, and the leads from marketplace lookups, come from public listings and are starting points, not findings. You decide what to do with each one.

You are responsible for your authorization decisions, your declarations and your product flags, and for disputes about them with your retailers. You agree to indemnify us against claims that arise from inaccurate or unlawful information you add, as set out in section 11.

5. Sellers

Sellers may request authorization from a brand, and a brand may invite a retailer to open an account. A request changes nothing until the brand approves it. If you open a retailer account, you confirm that you run the business and the channels you add to it, and you keep your sign-in secure as section 4 requires of brands.

Disputing a declaration. If a brand has declared you unauthorized, you can dispute it through the form linked from the answer, giving a contact email and your evidence. While the dispute is open, answers about you say disputed. The brand can reconfirm or withdraw the declaration; if it does neither within 30 days, the dispute closes and the declaration stands. We tell you how it closed.

Disputing a listing. If you believe an entry about you is wrong, for example a revocation you say was issued in error, you can dispute it with the brand, giving your evidence. The brand has 30 days to confirm, correct or reject it. If the brand does not answer within 30 days, the dispute closes and the brand’s current decision stands. We tell you how it closed. These periods are set out in section 11 of the specification.

Correcting an identifier. If an identifier is mapped to the wrong business, email us. We correct identifier errors ourselves.

We do not decide commercial disputes, and the brand’s decision is final for authorization status on the Registry.

6. Agents, marketplaces and other API users

To use the verify API (including resolve) or the MCP server’s tools you need an API key. You get one by signing up with a work email and telling us about the agent you’re building, what it is for, and who operates it. The signing keys, public lists and the revocation feed need no key.

If you use the verify API, MCP server, lists or mirrors, you agree to:

  • verify signatures against our published keys and follow the freshness rules in the specification (valid_until, stale_until and the revocation feed);
  • treat a seller as unconfirmed, never authorized, when you cannot get a valid answer;
  • use answers as one input to your own decisions. You remain responsible for what your software recommends or buys;
  • pass on answers unaltered if you relay or cache them, with their signatures intact;
  • not suggest that we endorse you, your product or any seller;
  • not try to get private lists or catalogs by bulk querying, scraping or any means other than what the brand has made public;
  • keep to the rate limits in the API documentation;
  • give accurate information when you sign up, and keep it current;
  • keep your API keys secret: don’t share them, publish them or put them in code others can read, and revoke a key you think has leaked;
  • use a key only for the agent you described and for the organization that signed up, and don’t pass a key on to anyone else;
  • keep your sign-in email and authenticator secure, as section 4 requires of brands;
  • accept that a key doesn’t change what an answer means (section 3) and gives you no right to the Registry beyond these terms.

7. Availability

We aim to keep the Registry available, but we do not guarantee it will be available at any particular time. The specification says what software should do when the Registry is unreachable. A Registry outage does not make any seller unauthorized.

8. Fees

Claiming your brand and listing your retailers costs nothing. We may introduce paid features. If we do, we’ll set them out and give you notice before any fee applies, and fees apply only if you sign up for them.

9. Trademarks

“authorizedretailers.ai” and “Authorized Retailers” are our trademarks. You may use them to describe accurately that your software reads or implements the format, as set out in the trademark policy. You may not use them to name a registry or service, or in a way that suggests endorsement.

10. Disclaimers

The Registry and every answer are provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy of information supplied by brands and non-infringement. Seller details, addresses, prices, ratings and location checks that we show brands come from marketplaces and other public sources at the time we fetched them. They may be wrong or out of date, and we do not verify them.

11. Limitation of liability and indemnity

To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data, arising from the Registry or any answer. Our total liability for any claim is limited to the greater of the fees you paid us in the 12 months before the claim or USD 100.

You agree to indemnify us against third-party claims arising from information you add to the Registry, your breach of these terms, or your software’s decisions based on answers.

12. Suspension and termination

We may suspend or remove an account, or revoke an API key, that breaches these terms, gives false information or puts the Registry’s integrity at risk, and we may remove an authorization, declaration, product flag or other entry that we reasonably believe is unlawful or abusive. We record any such removal in the brand’s change log with the reason. If we remove a brand, its list stops counting and answers return brand_not_registered. You can close your account at any time.

13. Changes to these terms

We may update these terms. We will post the new version here with its date and, for material changes, notify registered account holders at least 30 days before they take effect.

14. Governing law

These terms are governed by the laws of the State of Florida, USA, and disputes go to the state and federal courts located in Pinellas County, Florida, unless the law where you are requires otherwise.
